The problem is that it glosses over the difference between short and long-term performance, and focuses attention strictly on stock price.
So basically, it strongly incentivizes behavior that provides short-term, short-sighted tactics that disregard stakeholder and societal impact. That might be good for stockholders who want to make a short-term killing, but it's iffy for long-term stockholders, and typically counter-productive for society as a whole.
